Acceptance of Terms
By accessing or using Integrated Agentic's services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use our services.
Description of Services
Integrated Agentic provides AI agent deployment services, including:
- Local AI agent deployment (on your hardware)
- Cloud AI agent deployment (on our infrastructure)
- Hybrid deployment solutions
- Consulting, setup, and support services
- Hardware sales and configuration
We reserve the right to modify, suspend, or discontinue any service at any time without notice.
User Responsibilities
Prohibited Uses
You agree not to use our services to:
- Violate any applicable local, state, national, or international law
- Infringe upon or violate our intellectual property rights or those of others
- Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
- Submit false or misleading information
- Upload viruses or malicious code
- Attempt to gain unauthorized access to our services or related systems
- Interfere with or disrupt our services
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately if you suspect unauthorized access.
Local Deployment Terms
You Own Your Data
For local deployment, your AI agent runs on your hardware. We do not have access to your data, conversations, or AI outputs. You are solely responsible for backing up, securing, and managing your locally-deployed systems.
Hardware: Hardware purchased through us is subject to manufacturer warranties. Physical damage, misuse, or unauthorized modifications void warranty coverage.
Support: Support services are provided as outlined in your chosen plan. Support does not cover third-party software, custom integrations, or issues unrelated to our setup.
Cloud Deployment Terms
For cloud deployment, your data is processed on our infrastructure. You agree to:
- Use cloud services in compliance with our Acceptable Use Policy
- Not attempt to circumvent security controls or access other customers' data
- Not abuse resources or engage in activity that degrades service for others
- Maintain accurate account and billing information
We maintain a 99.9%+ uptime SLA for cloud services. See your service agreement for details.
Fees and Payment
Pricing
Pricing is as outlined on our website and in your quote or agreement. We reserve the right to change pricing for new customers at any time. Existing customers are bound by their agreed-upon pricing.
One-Time Fees
Setup fees, hardware costs, and one-time services are due before work begins unless otherwise agreed in writing.
Recurring Fees
Monthly or annual support and cloud subscription fees are billed in advance. Auto-renewal applies unless canceled before the next billing cycle.
Late Payments
Late payments may incur a 1.5% monthly finance charge. Continued non-payment may result in service suspension.
Refunds
All sales are final unless otherwise specified. Setup fees and hardware costs are non-refundable once work has commenced or hardware has shipped. Support subscriptions may be prorated if canceled mid-term, at our discretion.
Service Level Agreement (SLA)
Uptime Guarantee
Cloud services: 99.9%+ uptime SLA, excluding scheduled maintenance and force majeure events.
Support Response Times
Response times vary by support plan:
- Standard: Email response within 48 hours
- Priority: Email response within 24 hours
- Premium: Phone response within 4 hours, email within 8 hours
Credits and Compensation
Service credits may be issued for SLA breaches as outlined in your service agreement. We are not liable for consequential damages.
Intellectual Property
Our Property: Our software, technology, documentation, designs, and branding remain our intellectual property. You receive a license to use these as part of our services.
Your Property: Your data, documents, and custom configurations remain your property. For local deployment, you own the entire setup.
Third-Party: We may use open-source or third-party software. These are subject to their respective licenses.
Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, special, or consequential damages
- Our total liability is limited to the fees you paid for the relevant service
- We are not responsible for data loss, even if you notify us of the possibility
- For local deployment, you assume all risk of data loss or system failure
Some jurisdictions do not allow limitations on liability, so these limitations may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless Integrated Agentic, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.
Termination
By You
You may cancel services at any time. Setup fees and hardware costs are non-refundable. Support subscriptions will stop at the end of the current billing cycle.
By Us
We may suspend or terminate your services if you:
- Breach these Terms
- Fail to pay fees when due
- Engage in fraudulent or illegal activity
- Violate the rights of others
Upon termination, you will lose access to cloud services. For local deployment, we have no ability to disable your system.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the state where Integrated Agentic is registered, without regard to conflict of law principles.
Any disputes arising from these Terms will be resolved through binding arbitration, except where prohibited by law. You waive your right to a jury trial.
General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Integrated Agentic
- Waiver: Failure to enforce any term does not constitute a waiver
- Severability: If any provision is found invalid, the remaining provisions remain in effect
- Assignment: You may not assign your rights without our written consent
- Force Majeure: We are not liable for delays or failures beyond our control
